Alphabet raises up to $25 billion in corporate bonds, largest tech debt deal since Meta's $10 billion August raise

The Mountain View parent returns to debt markets with zero operational stress, signaling liquidity preference over equity dilution amid AI infrastructure spending.

Alphabet announced Thursday it will raise up to $25 billion through a multi-tranche corporate bond offering, making it the largest technology sector debt issuance in the fourth quarter and the second-largest of 2024 after Apple's $5.25 billion spring sale. The company has not disclosed maturity structures or coupon guidance, but the size alone places it among the top ten corporate bond deals globally this year.

The timing is methodical. Alphabet carries $13.7 billion in net cash after its third quarter, with $110.9 billion in cash and marketable securities against $13 billion in long-term debt. The company does not need the capital for survival or to meet covenant thresholds. It needs optionality. The raise comes three months after the company reported $88.3 billion in revenue for Q3, up 15 percent year-over-year, and committed to spending north of $75 billion on capital expenditures through 2025, most of it directed at AI compute infrastructure and data center expansion.

This is not distress borrowing. Alphabet's debt-to-equity ratio sits at 0.04, and its interest coverage exceeds 50x based on trailing twelve-month EBIT. The company last tapped public debt markets in August 2022 with a $10 billion offering at yields between 3.3 percent and 4.2 percent across four tranches. Since then, the 10-year Treasury has moved from 2.8 percent to 4.6 percent, making current debt relatively expensive by recent standards but still cheaper than equity dilution for a company trading at a forward price-to-earnings ratio near 22. The bond sale preserves share count while locking in fixed-rate capital ahead of potential Federal Reserve pivots in mid-2025.

The second-order effects matter for allocators. A $25 billion issuance absorbs significant investment-grade demand in a quarter when corporate issuance has already exceeded $1.4 trillion year-to-date. Alphabet's AAA-equivalent credit profile will compress spreads across the technology corporate bond complex, particularly for other cash-rich issuers like Microsoft and Oracle who may follow with their own raises before year-end. The deal also confirms that hyperscalers are treating AI infrastructure spending as a multi-year capital cycle, not a one-time expense, which has implications for semiconductor equipment suppliers, data center REITs, and energy infrastructure plays tied to power-intensive compute.

Operators should watch for the pricing announcement, expected within 48 to 72 hours, which will reveal term structure and investor appetite at the long end. If Alphabet successfully places 30-year paper, it signals institutional confidence in the company's competitive moat beyond the current AI product cycle. Allocators should also track whether the proceeds are earmarked explicitly for capex or kept in general corporate use, which would indicate management's view on M&A optionality or shareholder return timing.

The deal closes the gap between Alphabet's capital structure and its peers. Amazon carries $67 billion in long-term debt. Microsoft holds $42 billion. Alphabet, with its historically conservative balance sheet, is now deploying leverage not because it must, but because the cost of capital allows it to fund a decade of compute expansion without touching cash reserves that still exceed the GDP of Qatar.

The takeaway
Alphabet is using $25 billion in fresh debt to fund AI infrastructure spending without equity dilution, confirming hyperscalers view compute capex as a multi-year cycle.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.

This trade runs on hands, not desks. Imprint manufacturing & Komori Press · Canon high-speed secure-media operations is a craft floor — genuine Six Sigma discipline applied to ink, thread, foil, and registration, where a hundredth of an inch is the difference between a brand that reads serious and one that reads cheap. POPS4 is built by exactly those operators: independent, boots-on-the-ground engineers who carry their own book, read a client in microseconds, and put their name on every run. Beyond our own Virginia Beach floor, we work with a vetted network of craft manufacturers across the US — each meeting the highest excellence in QC standards in the industry, each a specialist in its own discipline — so apparel, hard-goods imprinting, media manufacturing, packaging, and secure printing all go to the bench built for them, coordinated from one accountable hub.
