Arbutus Biopharma filed an 8-K on Friday announcing a modified Dutch auction tender offer to repurchase up to $230 million in common shares at prices between $5.00 and $5.75 per share. The clinical-stage biopharmaceutical company, which trades on Nasdaq under ticker ABUS, closed the prior session at $4.98, placing the tender floor marginally above market and the ceiling 15.5% higher.

The company reported $506 million in cash and marketable securities as of June 30, meaning this tender represents 45% of the balance sheet's liquid position. Arbutus has no approved products and is burning cash on its hepatitis B and COVID-19 antiviral programs, so the decision to return nearly half its treasury signals either management confidence in remaining runway or pressure from shareholders who see no near-term catalyst. The company's market capitalization stood at approximately $697 million before the announcement, making this a 33% float reduction if fully subscribed at the high end.

Dutch auctions let shareholders name their price within the range.
