Black Pearl Equities pushed the expiration date on its tender offer for Selectis Health, Inc. to February 21, 2025, extending a bid that values the healthcare services company at approximately $7.50 per share. The New York investment group filed notice of the extension this week, the second time the tender clock has been reset since the original December launch.
Selectis Health operates revenue cycle management and care coordination platforms serving regional hospital systems and specialty clinics. Black Pearl, a lower-middle-market private equity shop with healthcare vertical experience, initially approached the board in late November. The company trades thinly on OTCQB under ticker SETH, with average daily volume below 18,000 shares. The offer represents a modest premium to pre-announcement pricing but remains below the $9.20 twelve-month high Selectis touched in mid-2024.
Extensions in tender offers below $100 million enterprise value typically mean one of three things: incomplete diligence uncovering operational complexity, minority shareholder resistance coordinated through quiet channels, or regulatory filings moving slower than anticipated. In Selectis's case, the company disclosed in prior quarters that it was exploring strategic alternatives, which makes a competing bid less likely but not impossible. Black Pearl's extension language cited the need for "additional time to allow shareholders to tender their shares," standard boilerplate that reveals nothing about the actual friction point. The deal structure remains all-cash, no financing contingency disclosed, which suggests Black Pearl has capital committed but is managing process risk.
For allocators tracking small-cap healthcare M&A, this extension pattern matters because it often precedes either a modest price bump to close resistance or a complete withdrawal. Selectis reported $42 million in trailing revenue with inconsistent EBITDA margins, the kind of asset that requires operational turnaround post-close. If Black Pearl is discovering integration complexity or customer concentration risk during diligence, the offer could reprice down or collapse. If minority holders are coordinating for a higher bid, the $7.50 floor becomes the opening round of negotiation. The next 10-Q filing, expected in early March, will clarify whether Selectis management is treating this as a done deal or keeping alternative pathways open.
Watch for February 18-21 for tender uptake disclosure. If Black Pearl has less than 51% tendered by close, expect either another extension or a raised offer within 72 hours. Competing bids, if they exist, surface in the final 48-hour window. Selectis has 4.2 million shares outstanding, so the math on majority control is visible quickly once the tender agent reports.
Black Pearl filed the extension on January 14, 2025. The new deadline is 5:00 PM Eastern on February 21. No price revision accompanied the extension notice.
