Conagra Slashes Dividend 50% One Month After S&P 500 Removal, Guides Below Street

The packaged food maker traded yield for balance sheet flexibility as center-store volumes continue structural decline.

Conagra Brands cut its annual dividend from $1.40 to $0.70 per share and issued fiscal 2027 earnings guidance below consensus, one month after being removed from the S&P 500 in December 2024. The stock fell 3.2% in morning trading before recovering to close down 1.1%, an unusually muted reaction for a halving of shareholder distributions.

The company guided fiscal 2027 adjusted earnings per share to $2.35-$2.50, below the Street's $2.58 estimate, and projected organic net sales growth of 1-2% after three consecutive years of volume declines in its core frozen and shelf-stable categories. Management cited retailer destocking, private label share gains, and what CFO Dave Marberger called "persistent consumer reluctance to pay premium prices for center-store brands" as headwinds. The dividend cut frees approximately $385 million annually, which Conagra will redirect toward debt reduction and what CEO Sean Connolly described as "selective SKU rationalization and manufacturing footprint optimization."

The timing matters because institutional holders who bought after the October yield spike to 10% were largely yield-focused allocators expecting stable distributions during a turnaround. The S&P 500 removal on December 20, 2024, triggered an estimated $1.2 billion in forced index-fund selling, which reset the shareholder base toward deep-value and distressed-debt buyers. That newer cohort anticipated restructuring and priced in dividend risk, which explains the stock's resilience today. The company's net debt to EBITDA ratio stood at 4.1x at the end of fiscal Q2, well above its stated 3.5x target and uncomfortably close to covenant thresholds on its $8.5 billion term loan facility.

Two second-order effects warrant attention. First, Conagra's move signals that the packaged food oligopoly—Kraft Heinz, Campbell's, General Mills—may face similar yield-versus-investment trade-offs if private label penetration continues accelerating. Private label share in frozen meals reached 23.7% in December 2024, up 310 basis points year-over-year, according to IRI point-of-sale data. Second, the dividend cut reduces Conagra's appeal as a bond proxy in balanced portfolios, which could compress its valuation multiple further if Treasury yields remain above 4.5%. The stock trades at 9.2x forward earnings, a 38% discount to the staples sector median, and now yields 5.1% at current prices.

Allocators should watch Conagra's April earnings call for specifics on which manufacturing facilities face closure and whether the company will divest underperforming brands like Slim Jim or Hebrew National, both of which management has previously called "strategic portfolio candidates." Debt refinancing conversations with its syndicate banks are expected in Q2 fiscal 2025, with the $2.1 billion tranche maturing in September 2026 the immediate focus. Any asset sale or JV partnership in the next six months would likely target international or foodservice-only brands to avoid further retail shelf-space losses.

The company's next test arrives in mid-April when it reports fiscal Q3 results. If organic volumes decline more than 2%, the lower end of guidance becomes unreachable without margin engineering that risks further brand erosion.

The takeaway
Conagra chose balance sheet repair over yield stability, a capital allocation shift that resets stakeholder expectations and signals industrywide margin pressure.

AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable.
