Flex Limited announced the acquisition of EPC Power Corporation for $4.4 billion in cash and stock, scheduled to close in Q2 2025 pending regulatory clearance. The target manufactures gallium nitride-based power conversion modules that reduce heat loss in AI data center racks by approximately 18% compared to legacy silicon designs. Flex's existing Precision Technologies segment generated $2.8 billion in trailing revenue serving cloud infrastructure customers.
The transaction gives Flex control of EPC's 340-person engineering team and three fabrication facilities in Austin, Shenzhen, and Munich. EPC holds 127 active patents in high-frequency power conversion, the technical bottleneck for liquid-cooled GPU deployments at scale. Nvidia's GB200 and HGX H200 systems require power delivery at rack densities exceeding 120 kilowatts, triple the threshold of prior-generation air-cooled infrastructure. Flex stated the acquisition will add $950 million to annualized revenue by fiscal 2026.
The deal reflects accelerating capital allocation toward physical infrastructure constraints in AI deployment. Hyperscalers ordered approximately 550,000 GPU units in calendar 2024, but liquid cooling retrofits and power delivery upgrades delayed 32% of scheduled installations beyond their original target quarters. EPC's gallium nitride modules enable tighter rack spacing and reduce copper weight per megawatt by 22%, both meaningful factors in build-out velocity. Flex already supplies structural components and thermal systems to Microsoft Azure, AWS, and Oracle Cloud Infrastructure. Adding power conversion IP positions the company as a Tier 1 integrator for turnkey data center builds rather than a component supplier bidding for discrete contracts.
The transaction also compresses time-to-market for new entrants. CoreWeave, Lambda Labs, and regional cloud providers in the Middle East and Southeast Asia are all commissioning GPU clusters between 10,000 and 40,000 units over the next eighteen months. These operators lack the vendor relationships and technical staff to assemble cooling and power systems from scratch. Flex can now offer validated reference architectures that collapse deployment schedules by an estimated 90 to 120 days, a material advantage when GPU allocation windows from Nvidia remain tight.
Operators should monitor Flex's customer concentration disclosures in the March 2025 10-Q filing, expected mid-May. If the top three customers exceed 60% of the combined Flex-EPC revenue base, margin pressure will follow once hyperscaler procurement teams renegotiate volume pricing. Watch for EPC's backlog figures at the July earnings call, particularly commitments with delivery dates beyond Q4 2025. Any order push-outs there will signal either GPU supply delays or revised hyperscaler capex guidance.
The acquisition also tightens the vendor ecosystem around liquid cooling architecture. Vertiv and Schneider Electric remain the dominant players in data center cooling infrastructure, but neither controls gallium nitride conversion IP at EPC's scale. Flex's integrated offering may force those competitors into their own M&A to preserve technical parity, with $2 billion to $6 billion deal sizes likely if consolidation accelerates through 2025.
