India's Securities and Exchange Board will test tokenized corporate bond issuance with Rural Electrification Corporation in September, using blockchain rails and the Reserve Bank's wholesale central bank digital currency for settlement. The pilot will be limited to select institutional investors. REC, a government-owned infrastructure financier with ₹5.2 trillion in assets, will issue the bonds through a permissioned ledger maintained by SEBI-approved intermediaries.
The structure bypasses India's traditional two-day settlement cycle. Investors will purchase bonds using wholesale CBDC, with ownership transferred atomically on the blockchain at the moment of payment. The Reserve Bank confirmed that wholesale CBDC—distinct from the retail e-rupee pilot running since December 2022—will be ring-fenced to participating banks and custodians. SEBI has not disclosed the bond's tenure or denomination, but three sources familiar with the structure said issuance size will be capped at ₹500 crore to contain operational risk during the trial. The regulator's "better late than never" comment references its May 2023 consultation paper on distributed ledger technology in securities markets, which drew forty-one responses from exchanges, custodians, and fintech operators.
The significance is procedural, not philosophical. India's bond market—₹168 trillion in outstanding debt as of June—still relies on manual reconciliation between depositories, custodians, and the central bank. Tokenization collapses that stack. If the pilot succeeds, SEBI is expected to extend the framework to corporate bonds from private issuers by the first quarter of 2025, according to two regulatory advisors who requested anonymity. The move also de-risks the Reserve Bank's wholesale CBDC rollout, which has been live in interbank repo markets since November 2022 but has seen limited adoption due to narrow use cases. Pairing it with bond settlement creates a natural liquidity sink.
The timing matters for two reasons. First, India's G20 presidency this year forced the Reserve Bank to demonstrate progress on CBDC infrastructure to peer central banks. Second, SEBI is under pressure to reduce settlement risk after the ₹5,600 crore payment default by Karvy Stock Broking in 2019 exposed custodial vulnerabilities. Tokenized bonds with atomic settlement eliminate the gap between payment and delivery, removing counterparty exposure entirely. The Reserve Bank has been quietly briefing offshore investors on the pilot since June, signaling confidence that the test will not be postponed.
Operators should watch for three events. SEBI will likely release technical specifications for the permissioned ledger by mid-August, clarifying whether it will use Hyperledger Fabric or a proprietary stack. Banks participating in the wholesale CBDC trial—State Bank of India, HDFC Bank, ICICI Bank, and Kotak Mahindra—are expected to confirm custody arrangements for the tokenized bonds by the third week of August. The Reserve Bank will also need to publish final guidelines on wholesale CBDC liquidity rules before the pilot begins, as current regulations do not address how banks should treat tokenized assets on their balance sheets. Any delay in those guidelines will push the pilot into October.
The REC issuance is a named proof-of-concept, not a market event. The real question is whether SEBI extends the framework to high-grade private issuers—Reliance Industries, Tata Steel, HDFC—by early 2025, and whether those bonds trade on secondary markets using the same blockchain rails.
