Nuvei Pays $2.75B for Payoneer—First Acquisition After $6.3B Take-Private

Montreal payments firm deploys private capital nine months after Advent-Caisse buyout, absorbing Nasdaq-listed cross-border rival.

Nuvei Corporation closed a $2.75 billion acquisition of Payoneer Global Inc. on Monday, the first material deployment of capital since Advent International and Caisse de dépôt et placement du Québec took the Montreal payments processor private in a $6.3 billion transaction last May. The deal removes a Nasdaq-listed competitor and consolidates North American exposure to cross-border SMB payment flows under a single private equity-backed platform.

Payoneer processed $68 billion in payment volume across 5 million small and mid-sized business accounts in 2024, concentrated in e-commerce marketplaces, freelance platforms, and cross-border B2B settlements. Nuvei, which handles point-of-sale and digital commerce processing for 700 enterprise merchants, has been building out alternative payment methods and embedded finance capabilities since its 2020 IPO and subsequent delisting. The combined entity will process north of $300 billion annually, with Payoneer's seller-to-seller and gig-economy verticals filling gaps in Nuvei's legacy enterprise merchant base.

The transaction structure is all-cash, funded through a combination of balance sheet reserves and incremental term debt arranged by Goldman Sachs and RBC Capital Markets. Payoneer shareholders receive $7.00 per share, a 22% premium to Friday's close and roughly 1.8x trailing twelve-month revenue. The multiple compresses Payoneer's public valuation—briefly north of $4 billion in early 2021—but reflects tightening margins in the cross-border remittance layer as Wise, Stripe, and regional players compress take rates. Nuvei is acquiring processing infrastructure and a customer base that converts at 40% higher lifetime value than its legacy SMB cohorts, per management commentary during the privatization roadshow.

What matters for allocators is the velocity. Advent and Caisse closed their Nuvei buyout nine months ago, and this acquisition signals the playbook: private equity-backed roll-up of second-tier fintech infrastructure, away from public market scrutiny, with debt leverage applied to margin-accretive consolidation. The Payoneer deal is earnings-accretive in year one and eliminates a direct competitor in the alternative payment method stack that Shopify, Amazon, and Alibaba merchants rely on for non-card settlement rails. The combined firm now controls a disproportionate share of the middleware layer between platforms and end consumers in Latin America, Southeast Asia, and Eastern Europe.

Two risks deserve named-account attention. First, Payoneer's customer concentration: the top 50 platform partners generate 38% of volume, and any material churn during the integration—particularly among freelance marketplaces already testing Stripe Treasury or JP Morgan's embedded banking—could compress revenue visibility through H2 2025. Second, the regulatory approval timeline. The Competition Bureau of Canada and the U.S. Department of Justice have 90 days to review the transaction, and any extension into Q3 would delay the debt refinancing Nuvei has pre-arranged with its sponsor group. The company expects close by late Q2, but payment rail consolidation is under heightened scrutiny in Ottawa and Washington after the Visa-Plaid block in 2021.

Watch for two follow-on moves. Nuvei will likely divest Payoneer's legacy working capital financing book—roughly $400 million in SMB loans extended through its balance sheet—within six months of close, as Advent prefers pure processing models without credit exposure. Separately, expect at least one additional acquisition in the $500 million to $1 billion range by year-end, likely targeting either a regional acquirer in India or a crypto on-ramp provider, based on the incremental debt capacity the deal structure permits. The private equity playbook here is mechanical: acquire, integrate, lever, repeat.

The takeaway
**$2.75B** Payoneer buy is first post-privatization deployment—signals Advent's fintech roll-up strategy with debt-fueled consolidation.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
