NVent Electric deploys $1.75B for data center infrastructure in London-St. Paul pivot

The electrical enclosures firm bets thermal management will outrun traditional protection by 2026.

NVent Electric announced Monday a $1.75 billion acquisition targeting data center thermal and power infrastructure, the company's largest capital deployment since spinning out from Pentair in 2018. The London-domiciled, St. Louis Park-operated firm disclosed the deal in a regulatory filing without naming the target, though filings point to a European electrical distribution platform with €1.4 billion trailing twelve-month revenue. Settlement is scheduled for Q2 2025.

The transaction accelerates a shift NVent telegraphed in November, when management raised data center revenue guidance to $1.2 billion for fiscal 2024—up 34% year-over-year and representing 28% of group sales. The company manufactures thermal management systems, electrical enclosures, and fastening products; hyperscale buildouts in Northern Virginia, Frankfurt, and Singapore have driven margin expansion in its Enclosures segment from 18.2% to 22.7% over eight quarters. This deal adds liquid cooling capacity and high-voltage switchgear, both categories where NVent had been subscale.

The timing reflects a structural bet. Data center construction spending in North America and EMEA is forecast to exceed $80 billion in 2025, according to December Dodge Data, with 61% of that earmarked for AI-specific facilities requiring 2.4x the power density of legacy cloud infrastructure. NVent's existing thermal portfolio—primarily air-based cooling and perimeter containment—addresses roughly 40% of a traditional rack's needs. Liquid cooling and rear-door heat exchangers, which the acquired platform supplies, capture the other 60% in next-generation GPU clusters. The company is effectively buying its way into the higher-margin half of the stack before pricing compresses.

Second-order effects matter for allocators. NVent's debt-to-EBITDA will jump from 1.8x to an estimated 3.2x post-close, assuming the company funds the deal with $1.1 billion in new term loans and the balance in cash. Management has historically targeted 2.0x leverage, meaning free cash flow over the next eighteen months will flow to deleveraging rather than buybacks; the company repurchased $340 million of stock in 2024. Dividend policy—currently 1.8% yield—appears safe given NVent's 68% payout ratio, but don't expect increases until leverage normalizes in late 2026. The trade-off is access to hyperscale procurement cycles, where 18-24 month vendor lock-in contracts are standard.

Watch three follow-on events. First, NVent's Q1 earnings call in late April will detail the earn-out structure; European electrical deals often carry 12-18% EBITDA earnouts tied to integration milestones. Second, monitor permitting activity in Ashburn, Virginia and the Dublin-Kildare corridor—NVent's two largest revenue geographies—where data center moratoriums are under discussion due to grid constraints. Third, track Vertiv and Schneider Electric's pricing; both competitors have raised liquid cooling prices 8-11% since October, and NVent will need to match or undercut to justify the valuation.

The deal closes as NVent's largest competitor, Eaton, digests its own $2.1 billion Intelligent Power acquisition. Two electrical infrastructure firms deploying $3.85 billion combined in six months signals vendor consolidation ahead of a hyperscale procurement wave. The first $500 million tranche of Meta's Longview, Texas data center power systems goes out to bid in May.

The takeaway
NVent Electric commits $1.75B to liquid cooling and switchgear, trading eighteen months of buybacks for hyperscale vendor lock-in.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.

Built by the craft floor — apparel, media, packaging, and secure print.
This trade runs on hands, not desks. Imprint manufacturing & Komori Press · Canon high-speed secure-media operations is a craft floor — genuine Six Sigma discipline applied to ink, thread, foil, and registration, where a hundredth of an inch is the difference between a brand that reads serious and one that reads cheap. POPS4 is built by exactly those operators: independent, boots-on-the-ground engineers who carry their own book, read a client in microseconds, and put their name on every run. Beyond our own Virginia Beach floor, we work with a vetted network of craft manufacturers across the US — each meeting the highest excellence in QC standards in the industry, each a specialist in its own discipline — so apparel, hard-goods imprinting, media manufacturing, packaging, and secure printing all go to the bench built for them, coordinated from one accountable hub.
