nVent Electric closed a $1.75 billion acquisition Monday, cementing its position as a Tier 1 supplier of electrical and thermal management systems to hyperscale data center operators. The London-domiciled, St. Louis Park–operated industrial did not disclose the target's name in initial filings, though prior SEC disclosures suggest the asset is a North American electrical infrastructure platform with $420 million in trailing revenue and exposure to colocation and cloud operators building out AI-capable compute facilities.
The transaction is nVent's largest to date and represents roughly 18 percent of its current market capitalization. Management funded the deal with a combination of term debt and a delayed-draw revolving facility arranged through JPMorgan and Bank of America. The company's net leverage ratio moves from 1.2x to an estimated 2.8x EBITDA post-close, within the 3.0x covenant threshold but aggressive for an industrial with 63 percent of revenue still tied to non-data-center verticals including residential HVAC and industrial process cooling.
The deal matters because nVent is threading a needle few industrials have managed cleanly: repositioning a legacy enclosures and fasteners business into critical infrastructure for AI training clusters without alienating its base of mechanical contractors and OEM customers. The acquired platform adds busway systems, modular switchgear, and liquid cooling distribution units — all components that hyperscalers need to push power density above 50 kilowatts per rack, the threshold where traditional air cooling fails. nVent's existing thermal management portfolio, anchored by the Hoffman and Schroff brands, already serves 40 percent of the top 25 colocation operators globally. This acquisition gives it the electrical backbone to bid on full-stack infrastructure contracts, competing directly with Eaton, Schneider Electric, and Vertiv in turnkey deployments.
The risk is execution cadence. nVent has closed 11 acquisitions since 2018, each sub-$500 million, and integrated them into a shared manufacturing and channel network without material margin dilution. This deal is 3.5x larger than its previous record and introduces a customer concentration dynamic the company has historically avoided — hyperscalers negotiate aggressively, demand annual price-downs, and can pull $50 million purchase orders with 90 days' notice if rack deployment schedules slip. nVent's guidance assumes 12-month payback on integration capex and 200 basis points of EBITDA margin expansion by year three, but that presumes no hyperscaler spending pause and stable commodity input costs, neither of which held true in the 2022–2023 data center correction.
Operators and allocators should track nVent's Q1 2025 earnings call in late April for three specific disclosures: the acquired platform's Q4 2024 organic growth rate, which will clarify whether the asset was sold into weakness or strength; the company's revised 2025 capex budget, particularly any facility expansions in Mexico or Eastern Europe to derisk tariff exposure; and management's commentary on pricing discipline in hyperscale RFPs, where Vertiv and Schneider have both flagged 15-20 percent gross margin compression on recent awards. The company's April investor day will also reveal whether nVent plans to hold or divest its legacy thermal management assets in residential and light commercial HVAC, a $680 million revenue segment that now represents margin dilution relative to the data center portfolio.
The acquired platform began shipping production units to a Tier 1 hyperscaler in Q3 2024, with contracted revenue extending through 2027.
