Nvidia Pays $12.9B for Hugging Face, Seizing Open-Source AI Distribution

The chipmaker buys the model repository used by 10 million developers, betting infrastructure wins without OpenAI's walled gardens.

Nvidia announced Thursday it will acquire Hugging Face for $12.9 billion in cash and stock, the largest M&A commitment by the chipmaker since its failed $40 billion Arm Holdings bid collapsed in 2022. The deal gives Nvidia direct ownership of the platform hosting more than 500,000 open-source AI models and datasets, alongside a developer base that crossed 10 million registered users in Q3 2024.

The acquisition pairs Nvidia's H100 and forthcoming Blackwell chip architecture with the most widely used repository for weights, fine-tuning scripts, and inference endpoints outside proprietary ecosystems. Hugging Face reported 1.2 billion monthly model downloads in its last disclosed quarter, a figure that has doubled year-over-year since early 2023. Nvidia pays roughly 13x Hugging Face's estimated 2024 revenue of $1 billion, a multiple consistent with infrastructure plays where network effects compound faster than gross margin expansion. The transaction includes Hugging Face's Paris headquarters, its 250-person engineering team, and enterprise contracts with Salesforce, Bloomberg, and the Allen Institute for AI.

The timing reflects Nvidia's recognition that its $3.5 trillion market capitalization rests on selling compute, not controlling models.
