Qualcomm locks $60B Amazon AI chip pact, grants $4B equity option

San Diego chipmaker pivots hard into data-center silicon while handing AWS warrants worth a regional bank.

Qualcomm announced Tuesday a multi-year commercial framework under which Amazon can purchase up to $60 billion of AI data-center chips and related infrastructure products, paired with warrants allowing Amazon to acquire approximately $4 billion in Qualcomm common stock. The equity component represents roughly 3.2% of Qualcomm's $124 billion market capitalization at Monday's close.

The deal marks Qualcomm's most substantial commitment to custom data-center silicon after years of dominance in mobile processors. Amazon Web Services receives optionality on chip volume tied to workload expansion timelines the companies did not disclose, while Qualcomm gains a named hyperscale anchor customer in a market where Nvidia commands estimated 85% share of AI accelerator revenue. The stock warrants vest contingent on purchase milestones Amazon has not publicly quantified. Qualcomm shares rose 6.1% in Tuesday trading to $164.80, adding roughly $7.6 billion in market value.

The structure solves two problems. Qualcomm needs data-center revenue diversification as smartphone unit growth stalls—mobile chip sales fell 23% year-over-year in fiscal Q3 2024. Amazon needs supplier redundancy after watching Nvidia allocation constraints delay H100 deployments by quarters in 2023. The $4 billion warrant package effectively makes Amazon a strategic holder at scale, aligning incentives beyond any single chip generation. It also signals AWS expects defensible margin on Qualcomm silicon competitive with its internal Graviton roadmap and any future Nvidia substitutes.

What operators miss: the deal's ceiling structure means Qualcomm must now prove it can deliver performance-per-watt and TCO that justifies $60 billion in cumulative purchases against Broadcom's established Jericho fabric chips and Nvidia's Grace-Hopper. Amazon does not hand out $4 billion in equity for courtesy volume. The warrant strike price and vesting schedule—unreported—will show whether this is a subsidy for unproven silicon or a calculated bet that Qualcomm's 5G modem IP translates to low-latency inference at cloud scale. Qualcomm has not shipped a data-center product generating nine-figure quarterly revenue. It now has a customer that can pull that threshold forward or walk away if benchmarks disappoint.

Watch Amazon's CapEx guidance on its October earnings call for any upward revision tied to "diversified silicon partnerships." Qualcomm reports fiscal Q4 results in early November; data-center revenue has been folded into its IoT segment, which totaled $1.4 billion last quarter. Any breakout of AWS-related bookings will clarify whether this is geometric growth or a hedge buy. Nvidia's GTC conference in March 2025 will likely address competitive positioning if Qualcomm begins sampling chips this fiscal year.

The tell is the equity. Amazon does not need exposure to a $124 billion semiconductor company unless it believes that number becomes $160 billion on the back of infrastructure it intends to deploy. Qualcomm just turned AWS into a co-investor at the scale of a meaningful institutional holder. The margin of error is now mutual.

The takeaway
Qualcomm trades mobile dominance for data-center optionality, securing a $60B AWS ceiling and issuing 3.2% equity as proof of commitment.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
