SoftBank files tender offer for BALYO, €50M French robotics consolidation play

AMF filing triggers formal review process as SoftBank moves to full control of warehouse automation portfolio company.

SoftBank Group filed a proposed public tender offer for BALYO with France's Autorité des marchés financiers on December 4, targeting full ownership of the Paris-listed warehouse robotics firm it has backed since 2017. BALYO's board established an ad hoc committee composed of independent directors Juliette Favre and Yasmine Fage to evaluate the offer terms.

The AMF filing initiates a multi-week regulatory review process standard for French public markets. SoftBank already holds a controlling stake in BALYO through previous rounds, including a €25M investment in 2017 and follow-on capital in 2019. The tender offer seeks to acquire remaining minority shares and delist the company, which has traded on Euronext Growth Paris since 2017 with a current market capitalization near €50M.

BALYO develops autonomous guided vehicle systems for logistics and manufacturing clients including Carrefour, Amazon, and Toyota. The company reported €15.8M in revenue for the first half of 2024, down 18% year-over-year as warehouse automation spending softened across Europe. Operating losses widened to €8.2M in the period, reflecting the same margin pressure hitting publicly-traded automation peers like AutoStore and Ocado Technology.

The move fits SoftBank's pattern of taking portfolio companies private when public market valuations disconnect from internal growth assumptions. The group delisted Boston Dynamics in 2021 after acquiring Hyundai's stake, and took Fortress Investment Group private in 2017 for $3.3B. For BALYO, private ownership removes quarterly reporting requirements and allows restructuring around longer-term industrial partnerships without equity market scrutiny.

Allocators should track three developments over the next sixty days. First, the ad hoc committee will retain an independent financial advisor, likely Accuracy or Ledouble, with a fairness opinion expected by late December. Second, the AMF will publish its draft decision on offer terms, typically thirty days post-filing, which sets the formal tender window. Third, SoftBank may disclose updated ownership thresholds if it acquires additional shares before the offer opens, as French regulations permit pre-tender accumulation up to specific disclosure triggers.

The tender price and acceptance threshold remain undisclosed in initial filings. The AMF process requires publication of draft offer documents within ten business days, which will detail SoftBank's valuation methodology and minority shareholder protections. The company's last financing round in 2022 valued equity at roughly €1.20 per share, against a current trading price near €0.85.

The takeaway
SoftBank's BALYO tender follows its established playbook of taking underperforming automation holdings private when public valuations lag internal models.

AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
