Stripe and Advent International submitted a joint acquisition proposal for PayPal Holdings valuing the payments platform at $53 billion, or $60.50 per share. The bid represents a 28% premium to PayPal's closing price on Friday and triggered a 17% surge in the stock Monday morning. Advent has secured $50 billion in committed financing.

The offer lands eighteen months after PayPal traded above $80 per share and seven quarters into a margin compression cycle that saw operating income fall 14% year-over-year in Q1 2025. Stripe gains immediate access to PayPal's 430 million active accounts and its Venmo peer-to-peer network, which processed $62 billion in payment volume last quarter. Advent's participation signals private equity's view that public market multiples have divorced from the intrinsic value of established payment rails. PayPal currently trades at 11.2x forward earnings, a 40% discount to the payments sector median.

The structure matters more than the headline. Stripe is not buying PayPal outright. Advent's co-control arrangement ensures the combined entity remains private indefinitely, insulating two decades of merchant relationships from quarterly earnings calls. The $50 billion debt package—likely split between term loans and high-yield notes—will be serviced by PayPal's $6.8 billion in trailing twelve-month free cash flow. That leaves Stripe's own balance sheet untouched for continued infrastructure buildout in embedded finance and crypto on-ramps. The bid also preempts regulatory scrutiny that would accompany a Stripe-only acquisition of the second-largest U.S. payment processor.

PayPal's board has sixty days to respond under the unsolicited offer terms. Three outcomes warrant monitoring. First, a counter-bid from Fiserv or FIS, both of which explored PayPal approaches in 2023 before walking on valuation. Second, a white-knight defense from PayPal's largest institutional holders—Vanguard and BlackRock together own 18.4%—who may prefer the certainty of a $60.50 exit to a multi-year turnaround under current management. Third, Department of Justice review under Hart-Scott-Rodino, which will hinge on whether regulators classify Stripe and PayPal as horizontal competitors or vertical integrators. Approval odds are above 70% given Advent's co-lead status, but timing extends into Q1 2026.

The deal closes a chapter in fintech's public-market experiment. PayPal's 2015 spinoff from eBay at $38 per share marked the beginning of payments-as-platform. Ten years later, the model has bifurcated: infrastructure players like Stripe command private-market premiums while consumer-facing brands like PayPal trade at commercial-bank multiples. If the transaction completes, Stripe will control 38% of U.S. e-commerce checkout flow and the largest white-label processing stack outside the card networks. Advent's financing commitments are locked through August 15.
