Stripe and Advent offer $53 billion for PayPal at $60.50 per share

Stripe and Advent International have jointly offered $60.50 per share for PayPal Holdings, valuing the company at $53 billion and marking a 28% premium to recent trading levels. The bid is backed by $50 billion in committed financing. PayPal traded at $47.24 before the offer became public.

The structure is a strategic acquisition wrapped in private equity execution. Stripe contributes operational control and merchant network integration. Advent provides the capital structure and the balance sheet engineering required to absorb a company generating $7.9 billion in trailing revenue. The financing commitment is larger than the purchase price because it includes refinancing PayPal's existing $10.3 billion in long-term debt and provides working capital for integration. This is not a leveraged buyout dressed as innovation. This is Stripe eliminating the last scaled alternative in online checkout infrastructure.

PayPal processes $1.53 trillion in annual payment volume across 400 million active accounts. Stripe controls roughly 50 million businesses and processes an estimated $1 trillion annually, concentrated in software platforms and direct merchant relationships. The combination creates a single entity touching $2.5 trillion in digital commerce with no remaining independent competitor at scale. Adyen remains a distant third with $800 billion in volume, concentrated in Europe and Southeast Asia. The regulatory question is not whether this consolidates the market. The regulatory question is whether the Federal Trade Commission can credibly block a deal where both companies already control merchant pricing, interchange negotiations, and platform distribution agreements with negligible overlap in customer sets.

The timing reflects Stripe's private valuation pressure and PayPal's public market stagnation. Stripe last raised at a $95 billion valuation in March 2023, then cut that to $50 billion in an internal tender six months later. PayPal's market capitalization sat at $41 billion before this offer, down from $128 billion in July 2021. Both companies face identical margin compression as interchange fees decline and software platforms demand revenue sharing agreements. Stripe solves this by acquiring PayPal's consumer wallet, its Venmo network effects, and its legacy eBay infrastructure that still generates 18% of total payment volume. Advent solves this by exiting in three years after Stripe reprices the combined merchant base and extracts 200-300 basis points in cost synergies from duplicated compliance, fraud infrastructure, and bank partnership teams.

Allocators should watch three specific events. First, the FTC review timeline under Chair Lina Khan's vertical integration framework, expected to trigger a Second Request by mid-August and extend into Q1 2025. Second, Stripe's need to announce a debt refinancing structure within 90 days to support the $50 billion commitment, likely involving a consortium led by JPMorgan and Goldman Sachs with participation from sovereign wealth funds. Third, PayPal's board response by July 28, which will determine whether Advent raises the offer or Stripe pursues a hostile tender directly to shareholders. The company has no poison pill in place and its largest shareholders—Vanguard at 8.4% and BlackRock at 7.1%—have historically tendered into premium offers above 25%.

The forward fact: Stripe now controls merchant checkout on 73% of US e-commerce platforms if this closes, and no payment processor has ever held that position without becoming a regulated utility.

The takeaway
Stripe eliminates PayPal as a competitor, consolidates $2.5 trillion in payment volume, and forces repricing across the entire merchant layer.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
